Terms of Service

1. Acceptance of Terms

By accessing or using the FlowServe platform ("Platform"), including our website at flowserve.flowtasks.io, any associated applications, and all services provided thereunder (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

FlowServe is operated by FlowServe Inc. ("FlowServe", "we", "us", or "our"). These Terms constitute a legally binding agreement between you and FlowServe.

2. Description of Services

FlowServe provides a software-as-a-service platform that enables restaurants and food service businesses ("Restaurant Partners" or "Merchants") to manage online ordering, delivery coordination, payment processing, customer relationships, and related operations. Customers ("End Users" or "Consumers") can browse menus, place orders, and make payments through individual restaurant storefronts powered by FlowServe.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age to create a Restaurant Partner account. End Users must be at least 13 years of age to place orders.

4. Restaurant Partner Obligations

Restaurant Partners agree to: (a) maintain accurate menu information, pricing, and availability; (b) comply with all applicable food safety, health, and hygiene regulations; (c) fulfill orders in a timely manner; (d) maintain a valid business license and all required permits; (e) not use the Platform for any unlawful purpose; and (f) pay all applicable subscription fees and commissions as outlined in their selected billing plan.

5. Payment Terms

FlowServe uses Stripe Connect for payment processing. Restaurant Partners authorize FlowServe to collect payments on their behalf from End Users and to deduct applicable platform fees, commissions, and subscription charges before remitting the balance. Payout schedules are configurable and subject to Stripe's processing timelines.

All prices displayed on the Platform are in the currency specified by the Restaurant Partner. Sales tax, delivery fees, and service fees are calculated and displayed at checkout. FlowServe is not responsible for tax compliance; Restaurant Partners are responsible for ensuring accurate tax configuration.

6. Subscription and Billing

Restaurant Partners subscribe to a billing plan (Starter, Growth, or Pro Operations) with monthly recurring charges processed via Stripe. Plans auto-renew unless cancelled before the end of the current billing period. Downgrades take effect at the end of the current billing cycle. No refunds are provided for partial months.

7. Intellectual Property

All intellectual property rights in the Platform, including software, design, trademarks, and documentation, are owned by FlowServe. Restaurant Partners retain ownership of their content (menus, images, branding) and grant FlowServe a non-exclusive license to display and distribute such content through the Platform.

8. Limitation of Liability

To the maximum extent permitted by law, FlowServe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Services. FlowServe's total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate these Terms at any time. FlowServe reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, Restaurant Partners may request export of their data within 30 days.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
